what are some disadvantages and advantages to windows 7 ultimate before I continue?

disadvantages: hard to get used to new window layout in start menu, can get slow without enough ram

Don't upgrade. With your amount of RAM, its not worth the upgrade. You should stick with XP for the best performance

well then I would advise getting Win7 Pro. The advantages of Ult are not that great when it comes to the average user.
